Agreement to Terms

By requesting a quote, signing a proposal, making a payment, or otherwise engaging NGC Technologies to perform work, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms apply to all projects and services provided by NGC Technologies.

Services

NGC Technologies provides professional digital services including, but not limited to:

• Web Design & Development
• Performance Marketing (SEO, Paid Ads, Social Media)
• Creative Design & Video Production

The specific scope of work, deliverables, and timelines for each project will be defined in a separate project proposal or agreement. Any work outside the agreed scope will be treated as a change request and may attract additional charges.

Payment Terms

Standard Payment Schedule:

• 50% advance — due before project kickoff / work commencement
• 50% balance — due upon project completion, prior to final delivery or handover

Additional Payment Conditions:

• All quoted prices are exclusive of applicable taxes (GST, etc.) unless stated otherwise
• Invoices are payable within 7 business days of issuance unless otherwise agreed in writing
• Late payments beyond the due date may attract a late fee of 2% per month on the outstanding amount
• NGC Technologies reserves the right to pause or suspend work on any project where payment is overdue
• Final deliverables, source files, credentials, and live deployments will only be released after full payment is received
• Payments are accepted via bank transfer, UPI, or other methods confirmed in writing

Refund Policy:

• The 50% advance is non-refundable once work has commenced
• If NGC Technologies is unable to proceed with a project after receiving the advance (due to our own fault), the advance will be refunded in full
• No refunds are issued for completed milestones or delivered work that the Client has approved

Revisions & Rework Policy

What counts as a revision round?

• A consolidation of feedback submitted in a single written communication (email or message)
• Minor adjustments to colours, fonts, copy, or layout within the original approved direction

What is NOT included as a revision:

• A change in creative direction or concept after initial approval
• New requirements or features added after the scope was agreed
• Piecemeal feedback spread across multiple messages (these count as separate rounds)

Web Design & Development revisions:

• Minor text and content updates during development are included
• Structural or layout changes requested after a page/section has been approved count as additional work and will be quoted separately

Additional revision rounds beyond the included allowance will be billed at our standard hourly rate or at a fixed fee agreed in writing before the additional work begins.

Project Timelines

Estimated project timelines will be provided in the project proposal. Timelines are contingent upon:

• Timely receipt of the 50% advance payment
• Prompt provision of content, assets, approvals, and feedback from the Client
• Timely responses to questions and clarifications from our team

NGC Technologies is not liable for delays caused by the Client's failure to provide required materials or approvals in a timely manner. If a project is put on hold by the Client for more than 30 days, a restart fee may apply.

Intellectual Property

Upon receipt of full and final payment, the Client receives ownership of the agreed final deliverables (e.g., website design, logo files, video edits) as specified in the project proposal.

• NGC Technologies retains ownership of all work until final payment is received in full
• NGC Technologies retains the right to display completed work in our portfolio and for promotional purposes, unless the Client requests confidentiality in writing
• Third-party assets (stock photos, licensed fonts, plugins, etc.) are subject to their respective licences; the Client is responsible for obtaining appropriate licences for continued use
• Working files, source code, and project files will only be handed over if explicitly included in the agreed scope and upon full payment

Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or business information shared during the course of the engagement. NGC Technologies will not disclose your business strategy, data, or confidential materials to any third party without your written consent, except as required by law.

Limitation of Liability

To the maximum extent permitted by applicable law, NGC Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or in connection with our services.

Our total liability for any claim arising from a project shall not exceed the total amount paid by the Client for that specific project.

NGC Technologies does not guarantee specific results from marketing campaigns, as performance is influenced by market conditions, platform policies, and other factors beyond our direct control. We commit to our best professional effort and transparent reporting.

Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination:

• The Client is liable to pay for all work completed up to the date of termination
• The 50% advance is non-refundable if work has commenced
• NGC Technologies will provide all completed deliverables upon receipt of payment for work done
• Termination does not relieve the Client of any outstanding payment obligations

NGC Technologies reserves the right to terminate a project immediately without notice if the Client engages in abusive behaviour, requests unethical or illegal work, or fails to make payment after a formal demand.

Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising from these Terms or from any project engagement shall be subject to the exclusive jurisdiction of the courts in Rangareddy, Telangana, India.

The parties agree to attempt to resolve any dispute amicably through good-faith negotiation before initiating formal legal proceedings.
